Anthropic Confidentially Files Draft S-1 with SEC as IPO Option Moves Forward

Anthropic is edging closer to the public markets. The AI safety company confidentially submitted a draft registration statement on Form S-1 to the U.S. Securities and Exchange Commission on June 1, 2026, formally opening the door to a potential Anthropic IPO.
The filing, made under Rule 135 of the Securities Act of 1933, gives Anthropic the option to go public once the SEC completes its review of the draft. The company was quick to clarify that the announcement does not constitute an offer to sell or a solicitation to buy securities, and that any future sale would be subject to full registration requirements.
No share count or offering price has been announced yet. The company said the eventual public offering will depend on market conditions and other factors, leaving the timeline open-ended but the intention clear.
The Anthropic IPO filing comes at a significant moment for the company. Earlier this year, Anthropic raised $65 billion in a Series H round led by Altimeter Capital, Dragoneer, Greenoaks, and Sequoia Capital, pushing its post-money valuation to $965 billion. That funding round placed Anthropic among the most valuable private companies in the world, and a public listing would mark a historic moment for the AI industry.
Founded with a focus on AI safety research, Anthropic has grown rapidly through its Claude family of models and a wide range of enterprise products. The company recently launched Claude Opus 4.8 and expanded its European footprint with a new office in Milan, signaling aggressive global growth even as it prepares for a potential market debut.
For now, the confidential S-1 submission keeps specifics tightly under wraps, but the move signals that an Anthropic IPO is no longer a matter of if, but when.
