NGX Group 65th Annual General Meeting Set for April 29

Nigerian Exchange Group Plc has announced that its NGX Group 65th Annual General Meeting will hold on Wednesday, April 29, 2026, at 11:00 a.m., at the company’s corporate head office located at 2–4 Customs Street, Lagos Island.

What Shareholders Will Decide

At the meeting, shareholders will review and approve the company’s audited financial statements for the year ended December 31, 2025. The reports of the Directors, Auditors, Board Evaluation Consultants, and Audit Committee will also be tabled for consideration. Three Non-Executive Directors, Dr. Umaru Kwairanga, Mrs. Ojinika Olaghere, and Dr. Okechukwu Itanyi are due for re-election, having retired by rotation. Shareholders will also vote on the remuneration of both the external auditors and Managers, and elect members of the Statutory Audit Committee.

Beyond routine resolutions, the NGX Group 65th Annual General Meeting will consider a proposed bonus issue of one new ordinary share for every three existing shares held as at the close of business on April 10, 2026, subject to regulatory approvals. If approved, the move would increase the company’s share capital from ₦1,102,309,954 to ₦1,469,746,605. Amendments to the Memorandum of Association will also be to a vote to reflect this updated capital structure.

NGX Group has confirmed that the meeting will be streamed live on its official website and social media platforms, shareholders and stakeholders who cannot attend in person are given the opportunity to follow proceedings in real time.

The announcement signals a significant governance moment for the Nigerian capital market’s foremost exchange group. Investors and market watchers expected to pay close attention to the dividend declaration and the outcome of the bonus share proposal.
